What is Erhvervsstyrelsen?
Erhvervsstyrelsen (the Danish Business Authority) administers the CVR register and enforces compliance with the Companies Act and the Annual Accounts Act. Letters arrive in the company's Digital Post inbox linked to its CVR number — not your personal e-Boks. You must log in with the company's MitID Erhverv to access them.
Critical: Many companies never receive these letters because they don't check the company's digital mailbox. That doesn't stop the deadlines from running.
Annual report demand letter (påkravsbrev)
All ApS and A/S companies must submit an annual report to Erhvervsstyrelsen within 5 months of the financial year end. For calendar-year companies, the deadline is 31 May.
If you miss the deadline, Erhvervsstyrelsen sends a demand letter containing two deadlines:
Deadline 1 — 8 business days from the letter date: Submit the annual report by this date and nothing further happens.
Deadline 2 — 4 weeks from the letter date: If still not submitted, each board member is personally fined (up to 3,000 DKK each), and Erhvervsstyrelsen can refer the company to the probate court for forced dissolution without further warning.
What to do: Submit the annual report immediately via virk.dk. If you don't have an accountant, find one now.
Forced dissolution (tvangsopløsning)
If you receive notice that the company has been referred for forced dissolution, the situation is serious. Common triggers: overdue annual report; no registered director; real owners not registered; company not reachable at registered address.
Once a company is in forced dissolution: it cannot be operated normally; bank accounts may be frozen; a court-appointed administrator liquidates assets. Reinstatement is possible within 3 months of the dissolution order, but requires submitting the missing material, an auditor's declaration, and payment of the administrator's fees — typically 30,000–50,000 DKK or more. A company cannot be reinstated if it has been dissolved within the last 5 years.
What to do: Contact a lawyer or accountant immediately. Time is critical.
Missing director registration
All ApS and A/S companies must have at least one registered director in CVR. If your director resigns, register a replacement immediately on virk.dk. Forgetting this triggers a warning and eventually forced dissolution.
What to do: Log in to virk.dk with MitID Erhverv and register the new director.
Real owner registration
Since 2017, all limited companies must register their real owners — the natural persons who ultimately own or control more than 25% of the company. Missing registration leads to forced dissolution. Update via virk.dk under "Ejerforhold".
